Scope
These General Terms and Conditions of Sale (GTC) apply to all sales of PICORIA products made by M&D International, S.L. (hereinafter "the Supplier") to professional customers (delicatessens, wine merchants, cheesemongers, butchers and caterers, restaurants, hotels, distributors, or any other professional establishment), hereinafter referred to as "the Client".
Any order implies the Client’s full and unreserved acceptance of these GTC.
These GTC constitute the common framework applicable to all sales. Particular conditions (prices, discounts, minimum volumes, payment terms, exclusivities) are defined in the partnership agreement or in the quotation accepted by the Client. In the event of any contradiction, the provisions of the partnership agreement shall prevail.
Products
PICORIA products comprise several ranges of organic extra virgin olive oil from the Sierra Mágina (Andalusia), namely:
- PICORIA EXCELLENCE – Ultra Premium (250 ml)
- PICORIA GOLD – Ultra Premium (250 ml, 500 ml)
- PICORIA SILVER – Premium (500 ml; 3 L format available from 2027)
All oils are single-variety (100% Picual), produced under organic farming certified in accordance with Regulation (EU) 2018/848, hand-harvested and cold-pressed (within less than 4 hours) after picking.
Each product bears the mandatory legal information required by European food legislation (Regulation (EU) 1169/2011), ensuring traceability, transparency and multilingual labelling where required.
Each bottle features a QR code giving access to the full analysis of the corresponding batch.
Products are supplied within the limits of the volumes available for each vintage.
Prices and conditions
Prices are expressed in euros excluding tax and are quoted ex-warehouse. The applicable prices are those in force on the day of the order.
Discounts, payment terms, minimum volumes and specific benefits are defined in the partnership agreement or in the quotation accepted by the Client.
The Supplier may communicate recommended retail prices. Such prices are given for guidance only: the Client remains entirely free to set its own resale prices, in compliance with applicable regulations.
Orders
Orders should preferably be placed via the PICORIA professional portal, accessible to registered partners. This dedicated channel guarantees priority processing, online tracking of orders, quotations and invoices, as well as automated invoicing.
Orders may also exceptionally be sent by email or telephone, but their processing may require additional time.
Any order becomes firm and final upon written confirmation by the Supplier. In the event of a stock shortage, the Client is informed as soon as possible and offered a replacement or a postponement.
Any modification or cancellation of a confirmed order must be sent to the Supplier at least forty-eight (48) hours before the scheduled delivery date.
Delivery
Deliveries are carried out in accordance with the terms set out in the quotation or the agreement.
Unless otherwise stipulated, delivery is free of charge for orders of €300 excluding tax or more. The Supplier reserves the right to modify this threshold at any time in line with changes in logistics costs, in particular those relating to transport and energy.
Delivery times are given for guidance only. As a rule, they are generally between forty-eight (48) and seventy-two (72) hours after confirmation of the order, and may exceptionally extend to five (5) working days depending on the destination and logistical constraints.
The Client must check the conformity of the products upon receipt and report any discrepancy within forty-eight (48) hours.
Payment
Orders are settled in accordance with the conditions set out in the partnership agreement or the quotation accepted between the parties.
Unless otherwise stipulated, the first order is payable in full at the time of ordering. From the second order onwards, payment is due within thirty (30) days.
In the event of late payment, late payment interest shall be due as of right, at the statutory rate applicable to commercial transactions in accordance with Ley 3/2004 (transposing Directive 2011/7/EU on combating late payment in commercial transactions), together with a fixed sum of €40 for recovery costs.
The Supplier reserves the right to suspend any delivery or the performance of any order in the event of a payment incident or established financial risk.
Marketing support and brand image
The Supplier provides the Client with communication materials (point-of-sale displays, visuals, product sheets, photo library, videos, etc.). These elements remain the exclusive property of the Supplier and must be used in accordance with the PICORIA brand image and guidelines.
Any public communication relating to the PICORIA brand must be approved by the Supplier. The promotion or online sale of PICORIA products by the Client is strictly prohibited without prior written agreement.
Culinary or informative publications featuring PICORIA products in a professional context (preparation, tasting, presentation of dishes) are permitted and encouraged.
The Client authorises the Supplier to list its establishment (name, address, professional contact details) as an official PICORIA point of sale or partner, in particular on the website www.domainepicoria.com and on the brand’s communication materials. This authorisation may be withdrawn at any time upon simple written request by the Client.
Quality commitment and liability
The Client is responsible for the storage conditions of the products (temperature, light, duration) and undertakes to keep them away from light and heat, and to comply with best-before dates.
The Client undertakes not to dilute, blend or repackage PICORIA products with any other oils or products, in any form whatsoever.
The Client undertakes to take out insurance covering the risks associated with its activity.
The Supplier’s liability is limited to the amount of the order concerned. The Supplier may not be held liable for any deterioration due to mishandling or inappropriate storage.
Claims and returns
Any claim must be submitted in writing within seven (7) days following receipt of the order.
Returns are accepted only in the case of defective or non-conforming products, and must be made in their original packaging within thirty (30) days following the Supplier’s approval.
In the event of an established defect, the Supplier shall replace or refund the products concerned.
Intellectual property
The PICORIA trademarks, logos, visuals and all communication elements are the exclusive property of M&D International, S.L. Any reproduction, modification or unauthorised use is strictly prohibited.
The Client may use these elements solely for the purpose of marketing or promoting PICORIA products within the framework of its agreement.
Personal data
Personal data collected in the context of the commercial relationship (orders, invoicing, communication) is processed in accordance with the General Data Protection Regulation (GDPR). It is used exclusively for the management of the contractual relationship and is under no circumstances passed on to unauthorised third parties.

Confidentiality
The parties undertake to keep confidential all commercial, technical and financial information exchanged in the context of their relationship. This obligation shall remain in force for two (2) years after the end of the partnership.
Force majeure
Neither party may be held liable for any breach of contract resulting from an event of force majeure as defined by case law (natural disaster, war, strike, epidemic, etc.).
Applicable law and jurisdiction
These General Terms and Conditions of Sale are governed by Spanish law, in accordance with Regulation (EC) No 593/2008 ("Rome I"), subject to the mandatory provisions of European Union law applicable to commercial relations between professionals established in different Member States.
In the event of a dispute, the parties shall endeavour to reach an amicable solution before any legal action. Failing agreement, the competent courts shall be those of the Supplier’s registered office, namely the courts of Jaén (Spain).
If the Client is established in another Member State of the European Union, the territorial jurisdiction of the Spanish courts is expressly accepted by the Client, in accordance with Regulation (EU) 1215/2012 ("Brussels I recast").
Amendments to the GTC
M&D International, S.L. reserves the right to amend these GTC at any time. The new conditions apply to all orders placed after their publication on the website www.domainepicoria.com or on any quotation issued to the Client.
